The National Treasury has announced vacancies for independent directors on the boards of several government-owned enterprises under the Government Owned Enterprises (GOEs) Act, 2025.
In a notice on May 13, the Treasury stated that the recruitment follows reforms approved by the Cabinet in November 2023 and came into force on December 2, 2025, replacing previous governance structures and legal frameworks used by state-owned enterprises.
According to the notice, the Treasury intends to fill board positions in multiple entities, including Kenya Power and Lighting Company, Kenya Electricity Generating Company, Kenya Ports Authority, and Kenya Railways Corporation, among others.
“The National Treasury intends to fill vacant positions in the Board of Directors of Government Owned Entities, in line with Section 10 of the Government Owned Enterprises Act, 2025,” the Treasury stated.
Further, the notice stated that all applications should be received by the National Treasury not later than 5:00 p.m. on Friday, 26th May 2026.

According to a National Treasury notice, the Government Owned Enterprises (GOE) Act, 2025, sets out the structure for the management of boards of state-owned enterprises.
“Pursuant to Section 17 of the Act, an independent director shall serve for a term of three (3) years, renewable once, subject to satisfactory performance,” it read.
The notice stated that under Section 10 of the Act, each GOE Board of Directors shall be composed as follows:
- A chairperson elected by the board from among the independent directors
- Six independent directors nominated by the Cabinet Secretary through a Search and Selection Panel
- Two public officers, one of whom shall represent the National Treasury and the State Department for Investment
- The Chief Executive Officer, who shall serve as an ex officio member of the board

Qualifications and How to Apply
The treasury noted that applicants must meet the following qualifications:
- Must be persons of high integrity
- Must have demonstrated experience in finance, accounting, auditing, governance, legal, corporate governance, or related fields
- Must have at least 10 years of professional experience in the relevant field
- Must have served in a leadership position for at least 5 years
- Must meet the requirements of Chapter Six of the Constitution
“A person is not qualified to be appointed as an independent director of a GOE Board if that person fails to meet the conditions stated in Section 21 and Section 17(2) of the GOEs Act, 2025,” it stated.
Applications should be submitted in plain sealed envelopes addressed to the Chairperson of the GOE Boards Selection Panel, National Treasury Building, Harambee Avenue, P.O. Box 30007-00100, Nairobi, or hand-delivered to 2nd Floor, Room 230, Treasury Building, Harambee Avenue.
