The Business Registration Service (BRS) has introduced a new automated system to simplify and secure the process of updating company officials.
In a notice dated January 13, this service covers the appointment of new directors, resignations, and transfers of shares, ensuring that all changes are efficiently recorded and verified.
“In line with our commitment to promote the ease of doing business in Kenya, BRS has reengineered and developed an enhanced automated service to make filing of changes of company officials easier, faster, and more secure,” read the BRS notice in part.
A key component of the system is prior confirmation by directors being appointed. This step ensures that personal information cannot be used to appoint someone without their consent.
How the BRS Automated Service Works
The new BRS system automates the process of updating company officials, including director appointments, resignations, and share transfers.
When a company submits a change, the system generates a One-Time Password (OTP) sent to the new director for verification. The director must confirm the appointment before it is officially recorded.
Multi-factor authentication ensures that only authorised individuals can approve changes, reducing the risk of identity theft or fraudulent filings. Once confirmed, the system updates the company records in real time, providing secure and traceable documentation.
The process also protects personal data in line with the Data Protection Act 2019 by preventing the use of someone’s information without consent.

All submissions must comply with Sections 839 and 843 of the Companies Act, which govern document lodgment and authentication requirements.
This automated service makes filing faster, safer, and more transparent, improving overall compliance and safeguarding public investments in shares.
Public Input Invited
BRS is inviting members of the public and stakeholders to provide feedback on the new automated process for updating company officials.
A public webinar has been scheduled for 20th January 2026 at 3:00 PM to discuss the system and gather opinions.
