Absa Group has agreed to sell its entire 63.32% stake in First Assurance Company Limited and Absa Life Assurance Kenya Limited to First Assurance Investments Limited (FAI), ending an 11-year ownership period in the two insurers.

In a notice dated August 13, the Group noted that the transaction is subject to regulatory approvals and forms part of Absa’s broader shift away from owning insurance businesses in Africa.

“Absa Group Limited (“Absa”) has entered into a sale and purchase agreement with First Assurance Investments Limited (“FAI”), an existing shareholder of First Assurance Company Limited (“FAC”) and Absa Life Assurance Kenya Limited (“ALAK”) for the sale of Absa’s entire stake in the two businesses, which amounts to 63.32% shareholding in each of the two entities,” part of the notice read.

Development in the stake sales follows the 2025 sale of Absa’s insurance manufacturing entities in Botswana, Mozambique, and Zambia.

What the Deal Means for Customers

For policyholders, the sale is not expected to bring immediate changes to insurance coverage, claims processing, or customer support.

According to Absa, existing distribution arrangements between the insurers and Absa Bank Kenya PLC will remain in place.

In addition, customers will continue to access insurance products through the bank’s branches and digital channels even after the transaction is completed.

Further, Absa clarified that products and services offered by First Assurance and Absa Life Assurance Kenya will remain unchanged as regulators review the acquisition and ownership transfer.

Kenyan Ownership

The transaction effectively returns control of the two insurers to investors linked to the company’s historical ownership.

First Assurance Investments, the acquiring company, is already a shareholder in the business, and Syndicate Nominees Limited and Exclusive Holding Limited own the firm.

The sale marks a reversal of the 2015 transaction in which Barclays Africa Group, later renamed Absa Group, acquired a controlling 63.3% stake in First Assurance.

At the time of the sale, the banking group paid approximately  KSh2.2 billion to shareholders and provided additional capital, bringing the overall transaction value to nearly KSh3 billion.

Founded in 1930 as Prudential Assurance Company PLC’s East African operation, First Assurance became a fully Kenyan-owned insurer in 1991.

Since its founding, First Assurance has grown into one of the country’s established providers of general and medical insurance.

Absa Life Assurance Kenya was later established as the group’s life insurance business, and with Absa now exiting, majority ownership returns to an investor group with long-standing ties to the insurer.

Absa’s Regional Strategy

The Kenyan transaction is the latest step in Absa’s strategy of focusing on bancassurance rather than directly underwriting insurance risks.

Over the past two years, the group has sold insurance businesses in Botswana, Zambia, and Mozambique while retaining partnerships that allow it to distribute insurance products through its banking network.

The move comes as Absa deepens its focus on banking operations across Africa, including plans to increase its ownership in Absa Bank Kenya.

Currently, the lender is pursuing a tender offer to raise its shareholding in the Kenyan subsidiary from about 68.5% to approximately 85%.

If approved by regulators, the transaction will complete Absa’s exit from the ownership of the two insurers while allowing the bank to maintain its role as a distribution partner.
