384 Kenyan companies are at risk of being dissolved after the Registrar of Companies issued an official notice of possible dissolution.
In a Gazette Notice published on May 8, the Registrar announced the intended removal of the listed entities from the Register of Companies.
The notice gives a three-month window for any person to show cause why the companies should not be dissolved.
“PURSUANT to section 897 (3) of the Companies Act, it is notified for the general information of the public that at the expiry of three months from the date of publication of this Notice, unless cause is shown to the contrary, the Registrar of Companies shall strike off the names of the following companies from the Register of Companies and the companies shall be dissolved,” stated the notice.

Notice Targets Inactive and Non‑Compliant Firms
On February 28, the registrar of companies issued a notice of the intended dissolution of 117 companies with a three-month window before dissolution.
Companies are usually dissolved when they fail to meet the basic legal and regulatory obligations required to remain on the official register, including prolonged inactivity, failure to file annual returns or financial statements, non‑compliance with statutory requirements, or when the Registrar has reason to believe the business has ceased operations.
Dissolution is also used to clean up the register by removing dormant or non‑operational entities that no longer carry on business.
Once a company is dissolved, it ceases to exist as a legal entity, meaning it cannot trade, own property, or enter into contracts unless it is formally restored through a court or administrative process.
