Changing directors of a company in Kenya requires careful preparation of documents before starting the process on the eCitizen platform.
For incoming directors, you need a letter of consent signed by the individual agreeing to act as a director, Form CR8, which records the residential address or change of address, and identification documents, including a National ID or Passport, KRA PIN, and a passport-sized photograph.
For outgoing directors, a resignation letter indicating voluntary resignation, Form CR9 notifying the cessation of office, an affidavit confirming the resignation, and minutes of the board meeting noting the resignation are required.
Ensuring these documents are ready will prevent delays in processing and increase the likelihood of successful submission.
Accessing eCitizen and Initiating the Change
Once the necessary documents are ready, log in to the eCitizen Business Registration Service (BRS) portal using your credentials.
Under the “My Businesses” section, select the company for which you want to change directors.
Navigate to “Maintain Company” and then select “Change of Officials.” At this stage, you will have to choose whether the change is for the appointment of a new director or the resignation/removal of an existing one.
This selection determines the type of documents and forms you will upload. Accurate entry of all details is critical, as errors may lead to rejection or delays.
Uploading Documents and Submission
After selecting the type of change, follow the portal prompts to upload the required documents.

For incoming directors, upload Form CR8, the consent letter, and identification documents.

After verification, apply for processing.
Payment and Confirmation
After submission, payment will appear.
The current fee for director changes is KSh 950, payable via mobile money options provided on the platform.
Once the payment is confirmed, the Registrar of Companies will review the application. The processing time may vary depending on the completeness of the application and the workload at the Registrar’s office.

Obtaining Updated Documents
Once the change of directors is approved, download the updated CR12 document from the portal.
