Jimnah Mbaru, a long-serving Non-Executive Director at Britam Holdings PLC, was reelected after voting by shareholders in line with Britam’s Articles of Association and the Capital Markets Authority’s Code of Corporate Governance.
His re-election was confirmed during the company’s 29th Annual General Meeting (AGM) held on Thursday, June 26, 2025.
According to the AGM polling results shared on Friday, June 27, 2025, Mbaru’s reelection bid received 2,038,957,225 votes, representing 99.9981 per cent of total cast votes.
However, 37,000 votes were cast against his reelection while 23,900 abstained. The voting process was conducted by Image Registrars and independently verified by PricewaterhouseCoopers (PwC).
Other directors reelected alongside Jimnah Mbaru
Two other Non-Executive Directors, Dr. Peter K. Munga and Mr. Edouard Schmidt were also reelected.
Dr. Munga received 2,038,952,124 votes (99.9979 per cent), with 42,301 against his reappointment and 23,700 abstentions.
On his part, Schmidt secured 2,038,969,225 votes in favour of his reelection (99.9986 per cent), 26,500 against, and 23,100 abstentions.
Jimnah Mbaru has been a significant figure in Kenya’s financial industry and is the chairman of Dyer & Blair Investment Bank, which has grown into one of East Africa’s leading investment banks.

Mbaru has served in various leadership roles in the capital markets sector and played a major role in shaping the financial landscape of the country.
Mbaru’s previous roles
He has also served as Chairman of the Nairobi Securities Exchange (NSE) for over 10 years, National Cereals and Produce Board (NCPB) and was a member of the National Economic and Social Council (NESC), which was the think tank for the Government of Kenya credited with coming up with Vision 2030.
Mbaru unsuccessfully vied for Nairobi governorship in 2013.
He also played a role in major public sector processes such as the privatization of Kenya Airways in the 1990s and the Safaricom IPO in 2008.
Mbaru holds a Bachelor of Laws degree from the University of Nairobi and a Master of Business Administration from the University of New York.

Additionally, he is the author of several publications on investment and capital markets in Africa.
He is also a director of Occidental Insurance Limited, Nairobi Securities Exchange and Sanlam Africa Core Real Estate Investors Limited.
