CMA on Company Secretary Tenure
In January 2025, the Capital Markets Authority (CMA) moved to cap the number of listed firms a company secretary can serve at three.
The move aimed to address over-commitment and strengthen corporate governance.
In its report on Nairobi Securities Exchange-listed firms, the Authority noted a rising trend of company secretaries serving multiple firms at the same time.
Company secretaries are central to a firm’s compliance and governance, with responsibilities that go beyond administrative tasks.
Their key roles include ensuring regulatory compliance, supporting corporate governance, managing board administration, and facilitating communication with shareholders.
